A law firm in San Diego, CA, is seeking a Corporate Funds and Private Equity Associate Attorney with 4-6 years of experience in investment funds and management services. The ideal candidate will have substantive experience representing private equity sponsors and/or agents across a broad range of transactions. Strong analytical and writing skills are essential, and the candidate must be licensed and in good standing in the state of California.
Duties:
Represent private equity sponsors and agents in various transactions, including fund formation, investment structuring, and portfolio management.
Provide legal counsel on investment funds, including compliance with regulatory requirements and industry standards.
Draft, review, and negotiate complex legal documents such as fund formation agreements, investment management agreements, and other transactional documents.
Conduct thorough legal research and analysis to support transactional activities and regulatory compliance.
Assist in structuring and executing private equity deals, including conducting due diligence, negotiating terms, and managing closings.
Collaborate with clients and team members to develop and implement effective legal strategies.
Manage multiple projects and transactions simultaneously while maintaining a high level of detail and accuracy.
Stay informed about industry developments, regulatory changes, and emerging trends in investment funds and private equity.
Requirements:
4-6 years of experience in investment funds and investment management.
Substantive experience representing private equity sponsors and/or agents in a variety of transactions.
Strong analytical skills with the ability to handle complex legal issues and transactions.
Excellent writing and communication skills, with a proven ability to draft and negotiate detailed legal documents.
Licensed and in good standing to practice law in California.
Demonstrated ability to manage multiple matters efficiently and effectively.
Education:
Juris Doctor (JD) from an accredited law school.
Certifications:
Licensed to practice law in California.
Skills:
Expertise in investment funds, private equity, and management services.
Proficiency in drafting and negotiating complex legal agreements.
Strong analytical and problem-solving abilities.
Excellent written and verbal communication skills.
